Thurston Aeromarine Corp (“Thurston”) Position Reservation (the “Agreement”) is made up of the following process:

  1. Position Reservation Fee: The Position Reservation Fee paid online and held in escrow account, will hold position.
  2. Aircraft Configuration: The Aircraft Configuration describes the Aircraft configured to be ordered, including pricing (excluding taxes and official or government fees).
  3. Aircraft Deposit: The Aircraft Deposit paid by wire transfer or equivalent means will trigger Aircraft Configuration production schedule bill of materials.
  4. Final Price Sheet: The Final Price Sheet will be provided as delivery date nears. It will include final pricing based on final Aircraft Configuration and will include taxes and official or governmental fees.
  5. Terms & Conditions: Terms & Conditions are effective as of the date Position Reservation Fee paid (the “Position Date”).

Agreement to Order. The individual, company, corporation (“Orderer”) orders the aircraft (the “Aircraft”) to be described in Orderer’s Aircraft Configuration from Thurston or its affiliate (“we,” “us” or “our”), pursuant to the terms and conditions of this Agreement. Orderer’s Aircraft is priced and configured based on features and options available at the time of order and Orderer can confirm availability with Thurston. Options or features released or changed after order place may not be included in or available for Orderer’s Aircraft. If purchasing a used Aircraft, it may exhibit signs of normal wear and tear in line with its respective age and total time.

Order Price, Taxes and Official Fees. The order price of the Aircraft is indicated in Orderer’s Aircraft Configuration. This order price does not include taxes and official or government fees. Because these taxes and fees are constantly changing and will depend on many factors, such as where Aircraft registered, they will be calculated closer to the time of delivery and indicated on the Final Price Sheet. Orderer is responsible for paying these additional taxes and fees. If Thurston is registering the Aircraft, this will be due when Orderer pays the Final Price.

Order Process; Cancellation; Changes. After Orderer pays Position Reservation Fee, we will allocate position in the Aircraft build schedule and notify Orderer. At this point, Orderer agrees that any paid Position Reservation Fee and Aircraft Deposit have been earned. If Orderer cancels order or breaches this Agreement and we cancel Orderer’s order, Orderer agrees that we may retain as liquidated damages the Position Reservation Fee and Aircraft Deposit, to the extent not otherwise prohibited by law. Orderer acknowledges that the Position Reservation Fee and Aircraft Deposit are a fair and reasonable estimate of the actual damages we have incurred or may incur in repositioning, remarketing, and reselling the Aircraft, costs which are otherwise impracticable or extremely difficult to determine. If Orderer makes changes to Orderer’s order, Orderer may be subject to potential price increases for any pricing adjustments made since Orderer’s original Position Date. Any changes made by Orderer to Order’s Aircraft Configuration, including changes to the delivery location or estimated delivery date, will be reflected in a subsequent Aircraft Configuration and Final Price that will form part of this Agreement. The Order Fee and Order Deposit and this Agreement are not made or entered into in anticipation of or pending any conditional sale contract.

Aircraft Configuration. Thurston will notify Orderer by electronic means of communication when the time has come for Orderer to Configure Aircraft.

Aircraft Deposit: i) Orderer has Configured Aircraft and Thurston has acknowledged configuration. ii) Orderer pays Aircraft Deposit. iii) Thurston will notify Orderer allocate position in the Aircraft build schedule and estimated Aircraft delivery date.  

Final Price Sheet. About 30 days prior to estimated delivery date Thurston will send Final Price Sheet by electronic means to Orderer.
